How will the assignment of Lumen CCLC to the Brightspeed CTBS be handled?

Answers and new ICSC codes are included in the Customer Communications Package.

How will changed (new) ICSC codes be handled?

Answers and new ICSC codes are included in the Customer Communications Package.

What is the current and new Operating Company Number (OCN) and Operating Company Name?
Can you please provide the current and New Service Wire Center (SWC)?

All Serving Wire Centers will remain the same.

Can you please provide the current and New Service Provider Identification Number (SPID)?

Brightspeed’s SPID will not change. You can continue using (0661).

Can you please provide the current and New Telco ID or exchange carrier identification (EC)s?

Telco IDs/Exchange Carrier Identification will not change. You can continue using the current Telco IDs/Exchange Carrier Identification.

Can you please provide specific documentation of what NECA changes are going to be made and when?

All NECA information will remain the same, just renamed “Brightspeed.”

What specific changes will be made with the LERG and when?

LERG changes will be a name change only for Brightspeed's 20 state footprint.

Will there be any impacts or changes to the following carrier reference information?
  • Connecting Facility Assignment (CFA) and Carrier Name Abbreviation (CCNA/IAC)
  • Access Customer Name Abbreviation (ACNA)
  • Carrier Identification code (CIC FGD code)

We can confirm that there will be no changes to the information above.

Will there be changes to TRUNK groups?

There will be no changes to TRUNK groups that transfer to Brightspeed.

Will circuit IDs change on Day 1 in Brightspeed territory?

There will be no change to circuit information.

When will we get access to the Brightspeed portal for ASRs, support, etc.?

Access to the Brightspeed portal will be available on or after Oct. 3, 2022.

Will the older orders in EASE convert over to Brightspeed and how long will we have access to the orders?

Brightspeed customers will have access to two years of historically accepted/worked orders.

In some states there is crossover between LECs (for example CenturyTel and Embarq in the same state). Does this transaction include all the LECs in each state?

A list of ICSC codes involved in the transition to Brightspeed can be found in the Customer Communication Package on the website under the Resources category. This listing of ICSC codes identifies all applicable entities operated by Lumen in the impacted states.

How will this transaction with Brightspeed affect NNIs?

Services ordered through the identified ICSC codes will be transitioned over to Brightspeed at transaction close.

Is Brightspeed going to use the existing PNUMs, or will they be changing?

PNUMs will not be changing.

 

Will we use the same URL we're using today for Lumen?

Customer's EASE user IDs are being recreated based on existing access and customers will access BSPD VFOs through a unique URL.

 

How will ICSC/OCN codes be affected as related to Metro Ethernet Networks?

Please refer to the Customer Communications Package found here (pages 9-10) for information on ICSC/OCN related to Metro Ethernet Networks

 

With regards to LERG and SPID changes, will batch code '5775', remain?

LERG changes will be a name change only for Brightspeed's 20 state footprint and SPID. Brightspeed will retain the overall company SPID of 0661 for all Brightspeed territories. LUMEN will convert all remaining territories to an overall company SPID of 2223.

 

How will Inflight Orders be handled?

Please see the Customer Communication Package found here (page 12) for information related to existing orders.

 

Will there be changes to the Two-Six Codes (TSCs)?

 


 

Billing

How will outstanding balances on invoices being transferred to Brightspeed be handled in the sale?

All outstanding balances will be transferred to Brightspeed on Day 1.

How will outstanding billing disputes, both paid and unpaid, on invoices being transferred to Brightspeed be handled in the sale?

All outstanding disputes will be transferred to Brightspeed on Day 1.

What do customers need to do to implement new EDI billing?

New EDI billing will be sent to the customer's existing connections established with Lumen today. Customers with existing EDI will not need to take any actions.

Will Brightspeed have anticipated remittance address and, if they anticipate receiving Electronic Fund Transfer (EFT) payments from us, banking info?

Yes, Brightspeed will have a new remittance address and will have a process to receive EFT from Wholesale customers. Address, directions on EFT, and banking information will be provided at a later date.

How will the billing disputes be handled?

Billing disputes will be handled by Brightspeed's Dispute Team on Day 1 similar to Lumen’s dispute process. Additional contact information will be provided at a future date.

Will our existing invoicing carry over and will the billing remit times be the same?

Billing cycles are not changing at this time.

Where can we get a list of BANs affected by the transaction?

A list of the BANs moving to Brightspeed can be found here. If the first four digits of a BAN are on found on this list, the BAN is moving to Brightspeed

Where should billing disputes occurring during the pre-close period and after the asset sale close period be directed?

Dispute Process and Claim Templates will be published on the Brightspeed Wholesale Operations Website at the close of the transaction.

 

Will Brightspeed charge a fee for NDM/SFTP CARE transactions?

On Day 1 there is no change to existing rates.

 

What can we expect as far as general billing changes?

Contracts/Agreements

Will Lumen provide impacted customers with a circuit list?

No. Customers can pull this information themselves using the current invoice and CSR by utilizing the Brightspeed OCNs in the first four positions of the BAN.

When and how we will carve-out existing Ethernet commercial contracts currently in place with Lumen?

At this time, Brightspeed will honor all existing contracts for Day 1.

 

How will existing circuit term plans and revenue commitments be handled post close?

Circuit term plans and revenue commitments will continue business as usual.

 

 


 

Process

Will we need to stand up new API?

Existing systems and processes for Service Assurance will remain in place.

How will customers eBond for tickets with Brightspeed?

The existing eBonding process for Trouble Admin will remain in place.

How will pole licensing be handled post-close?

Pole licensing will transfer to Brightspeed in the territories they are acquiring. Existing licenses in effect will be transferred effective Day 1.

Will the LUMEN trouble admin teams supporting us today be the same for our Brightspeed trouble tickets starting Day 1?

The support team will be a mix of conveyed Lumen employees and Brightspeed employees. Brightspeed will announce their organization closer to Day 1. Existing systems and processes for Service Assurance will remain in place for now.

 

Do customers need to do anything to ensure their service is maintained during the transition period?

Our business will operate as usual until the transaction is complete, which we expect to happen in the second half of 2022 after securing all regulatory approvals. Lumen and Brightspeed will be communicating with customers to keep them informed of timing and what to expect.

 

 


 

Testing

How does the customer establish the new IP address connectivity for Brightspeed test and production servers so that orders can flow?

This will be handled during the Customer Testing Period.

When will the CLEC testing window open and end?

Customer testing will be handled from August 1 to September 16.

How do we request access to testing?

Submit your company contact information to Letty.Walker@lumen.com who will refer your request to the EASE testing team.

Which systems should we test in?

Testing is available for the EASE ASR and LSR submission. You can submit your company information to Letty.Walker@lumen.com who will refer your request to the EASE testing team.

Will Lumen / Brightspeed provide circuits to test with?

When will Customer Forums be held?

There are currently two forums planned for wholesale customers on July 21 and September 15.

What will the Brightspeed Trouble Admin number be to call for all trouble ticket activities?

Brightspeed will provide their new contact numbers at a later date.

Who is my Brightspeed representative?

The Brightspeed representative assigned to your company will be communicated closer to Day 1.

How can we ensure we are receiving the Brightspeed welcome messages?

Welcome messages will be sent via multiple sources including letter through US mail, on your existing invoice or through electronic notice in CCDB.

Are the same products and services going to be available with Brightspeed?

There are no changes to products or services on Day 1.

When will Brightspeed tariffs be provided and where can we access them?

Brightspeed will provide this information closer to Day 1.

 

When will Brightspeed be updating their website with more information about this transition/FAQ/Industry Calls?

About the Transaction

What are the details of the Lumen/Brightspeed transaction?

Lumen is selling the part of its incumbent local exchange carrier (ILEC) business (currently operating under the CenturyLink brand) that serves consumers, small businesses, wholesale, local enterprises and government entities in 20 Midwest and Southeast states, and parts of NJ and PA, as follows:

  • Alabama, Arkansas, Georgia, Illinois, Indiana, Kansas, Louisiana, Michigan, Mississippi, Missouri, New Jersey, North Carolina, Ohio, Oklahoma, Pennsylvania, South Carolina, Tennessee, Texas, Virginia and Wisconsin.

Lumen will retain its local incumbent network and assets in 16 states including:

  • Arizona, Colorado, Florida, Idaho, Iowa, Minnesota, Montana, Nebraska, Nevada, New Mexico, North Dakota, Oregon, South Dakota, Utah, Washington and Wyoming. 

Lumen will also retain its national fiber routes and competitive local exchange carrier (CLEC) networks in all 36 states.

The transaction will provide Brightspeed with a robust, scaled local network, along with the operations and back-office support to meet the accelerating demand for high-bandwidth connectivity and fiber technology.

This transaction is valued at approximately $7.5 billion, representing a multiple of ~5.5x 2020 estimated EBITDA.

The transaction is expected to close in the second half of 2022, subject to customary closing conditions including required regulatory approvals in the U.S.

Who is Brightspeed?

Brightspeed is a dynamic new company comprised of industry leaders committed to enhancing the service experience for new and existing customers and to create a next-generation telecom and connectivity business. Brightspeed currently plans to invest at least $2 billion to build a network that will bring faster, more reliable Internet and Wi-Fi to communities throughout the Midwest, Southeast, and certain parts of Pennsylvania and New Jersey.  At closing Brightspeed will be comprised of the incumbent local exchange carrier (ILEC) assets and associated former operations of Lumen Technologies across 20 states and will be owned by funds managed by affiliates of Apollo Global Management, Inc. (NYSE: APO). 

Why is Lumen selling these assets in 20 states? How does it benefit customers?
  • Lumen will continue to make strategic network investments that strengthen the platform and our ability to meet the needs of both enterprise and mass markets customers in growth markets globally. We are retaining the national routes and CLEC networks that help us deliver on our value proposition of providing the fastest, most-secure platform for next-gen business applications and data.
  • Selling these assets to Brightspeed’s parent company at such an attractive valuation allows us to focus on driving growth in our core enterprise business, strengthen our national fiber network and accelerate investments in our retained Quantum Fiber markets with more fiber to the home. In addition, customers within the acquired markets will benefit as Brightspeed can pursue its own fiber deployment plans.
  • This deal allows us to focus on investments in Lumen’s most attractive markets where we see an opportunity to drive growth. By streamlining our asset portfolio, we will be positioned to execute on our plans to provide attractive returns for our stakeholders.
  • The Lumen platform enables enterprise customers to use Lumen’s data, cloud edge, security, and voice and collaboration capabilities. As we drive platform investments for greater growth, the Brightspeed transaction will help accelerate Lumen’s go-to-market strategies for digital products and services and enable us to provide an industry-leading customer experience.
In what states will you continue to offer internet services to consumers?

We will continue to offer residential broadband services in Arizona, Colorado, Florida, Idaho, Iowa, Minnesota, Montana, Nebraska, Nevada, New Mexico, North Dakota, Oregon, South Dakota, Utah, Washington and Wyoming.

Will customers in the 20 impacted states now be served by Brightspeed?

Customers served by the Lumen ILEC network will transition to Brightspeed when the transaction closes. However, today we’re business as usual, and you will receive information when we have news to share. We will still have competitive local exchange carrier (CLEC) customers in these 20 states.

What happens to Quantum Fiber?

The sale allows us to increase our level of current fiber investments and expand the Quantum Fiber footprint where we see positive momentum around growing our customer base and providing a differentiated customer experience. We will offer Quantum Fiber internet services in the 16 states we continue to serve. Our current Quantum Fiber customers in Springfield, Mo., or any other ILEC market in Missouri, will be served by Brightspeed after the transaction closes.

Do customers need to do anything to ensure their service is maintained during the transition period?
